AirTool Helper Agreement

This Agreement is in addition to AirTool's general Terms & Conditions.
It covers your specific obligations as a Helper or Professional service provider, including your contractor status, health & safety duties, ACC obligations, and insurance responsibilities under New Zealand law.
1. About This Agreement
This Helper Agreement ("Agreement") is between you ("Helper", "you") and AirTool NZ Ltd ("AirTool", "we", "us"). It applies in addition to AirTool's general Terms & Conditions and governs your registration and activity as a Helper or Professional Service Provider on the AirTool platform. By ticking the acceptance checkbox you confirm you have read, understood, and agree to be bound by this Agreement.
2. Independent Contractor Status
You are engaged as an independent contractor, not as an employee, agent, or partner of AirTool. Nothing in this Agreement creates an employment relationship. AirTool does not direct, supervise, or control how you perform services for seekers. The parties acknowledge that New Zealand courts assess the real nature of the relationship, not just its label — you must ensure your working arrangements are consistent with contractor status.
As an independent contractor you are solely responsible for:
- Setting your own hours, methods, and pricing
- Providing your own tools and equipment
- Complying with any licensing, registration, or trade certification requirements for your trade or profession
- Your own tax obligations, including income tax and GST registration if applicable
- Keeping your own business records
3. Health & Safety (Health and Safety at Work Act 2015)
You acknowledge that the Health and Safety at Work Act 2015 (HSWA) applies to work carried out for seekers through the platform. AirTool is a PCBU (Person Conducting a Business or Undertaking) in limited respects — specifically in operating the platform — but does not control the work site or the manner in which services are performed.
You are the primary duty holder for the work you perform. You must:
- Take all reasonably practicable steps to ensure your own health and safety
- Take all reasonably practicable steps to ensure the health and safety of seekers and any third parties affected by your work
- Not perform work you are not qualified, trained, or equipped to do safely
- Comply with all relevant industry codes of practice and safety standards
- Report any workplace incident or notifiable event to WorkSafe NZ as required by law
4. ACC (Accident Compensation Corporation)
As a self-employed contractor you may have cover under the Accident Compensation Act 2001, but the nature and extent of cover depends on your classification, earnings, and whether you hold a CoverPlus or CoverPlus Extra policy. AirTool does not provide ACC cover to Helpers and is not your employer for ACC purposes.
You are responsible for:
- Understanding your ACC entitlements as a self-employed person
- Paying any applicable ACC levies
- Considering whether CoverPlus Extra (agreed-value cover) is appropriate for your situation
- Contacting ACC directly for advice on your cover
5. Insurance
AirTool does not provide professional indemnity, public liability, or any other insurance coverage for Helpers. You are responsible for obtaining and maintaining appropriate insurance for the services you offer.
Depending on your trade or services, you should consider:
- Public liability insurance (cover for injury or property damage caused to third parties)
- Professional indemnity insurance (cover for errors, omissions, or negligent advice)
- Tools and equipment insurance
- Any mandatory insurance required by your trade's licensing body or industry association
6. Your Obligations to Seekers
When you accept a service request from a seeker through the platform, a direct service arrangement is formed between you and the seeker. AirTool is not a party to that arrangement.
You must:
- Perform services with reasonable care, skill, and diligence
- Complete agreed work within any timeframe you have committed to
- Communicate clearly and promptly with seekers
- Disclose any conflict of interest or relevant limitation before accepting a request
- Comply with all laws applicable to the services you provide
- Not misrepresent your qualifications, experience, licensing status, or trade credentials
7. Service Standards
AirTool maintains a community of trusted local service providers. Your continued listing on the platform is conditional on maintaining service standards acceptable to AirTool.
AirTool may suspend or remove your listing if you:
- Receive repeated poor reviews or complaints from seekers
- Perform work you are not qualified or licensed to perform
- Fail to hold required trade licences or comply with licensing conditions
- Engage in conduct that damages the reputation of the platform or other users
- Breach any provision of this Agreement or AirTool's general Terms & Conditions
8. Prohibited Conduct
You must not:
- Perform unlicensed restricted building work, electrical work, gasfitting, or drainlaying in breach of applicable New Zealand legislation
- Provide false, misleading, or deceptive information about your qualifications, experience, or the services you offer
- Harass, discriminate against, or engage in any abusive conduct toward seekers or other platform users
- Use the platform to market services unrelated to those listed in your profile
- Solicit or accept payment directly from seekers in a manner that circumvents AirTool's booking and payment process
9. Off-Platform Transactions
You must not use AirTool to identify seekers and then intentionally direct them to engage you outside the platform. Introducing a seeker through the platform creates an obligation to complete that engagement through the platform. Repeated violations may result in permanent account suspension and, where material financial loss to AirTool can be demonstrated, may give rise to a damages claim.
10. Payments, Fees & Taxes
AirTool may charge a platform service fee on bookings made through the platform. The applicable fee rate is displayed before you confirm acceptance of a request. You are solely responsible for your own tax obligations, including declaring income, filing GST returns if registered, and complying with any other obligations under the Income Tax Act 2007 and Goods and Services Tax Act 1985.
11. Platform Disclaimer
AirTool operates as a marketplace connecting Helpers with seekers. AirTool does not guarantee the volume, quality, or continuity of service requests you receive. AirTool does not vet, endorse, or guarantee seeker suitability and is not responsible for a seeker's failure to pay, cooperate, or provide safe working conditions. You assume the risks ordinarily associated with operating as an independent contractor.
12. Limitation of Liability
To the maximum extent permitted by law, AirTool's liability to you arising from or in connection with this Agreement or the platform is limited to any platform fees paid by you in the 12 months preceding the event giving rise to the claim. AirTool is not liable for indirect, consequential, or economic loss. Nothing in this clause excludes any rights you may have under the Contract and Commercial Law Act 2017 or any other applicable New Zealand legislation that cannot lawfully be excluded.
13. Changes to This Agreement
AirTool may update this Agreement from time to time. When the agreement is materially updated, you will be prompted to re-accept the new version before continuing to use the platform as a Helper or Professional.
